Plot
Peter Parker struggles to balance his new powers and starts to think that being Spider-Man is distracting him from having a happy life. He delivers pizzas, but is late because he had to save two children from being run over in the street.
Later, Peter is invited to attend a demonstration by a man named Otto Octavius. He has built four mechanical arms, and says that the arms can control him, but because of a special computer chip on his neck, he can control them instead of the other way around. He uses the arms to build and touch a machine that uses energy from the sun, which is powered by tritium. Tritium is very rare and expensive, so Harry Osborn and his company spend their money to give it to him. However, it turns out that the machine is too dangerous, and begins to grow uncontrollably. Otto's wife is killed by a shattered window. Peter becomes Spider-Man and rescues Harry. Harry hates Spider-Man, because he thinks that he killed his father, Norman Osborn during the events of the first movie. The accident causes Otto's mechanical arms to fuse to his body, and it also destroys the chip that allows him to control them. The arms, now able to control Otto, tell him that in order to build the machine again, they need to steal money in order to do it. Now called Doctor Octopus by the newspapers, Otto robs a bank vault for cash. Spider-Man shows up to stop him, but his powers begin to fail, and despite having a fierce battle, Otto escapes with the stolen cash.
Peter promises to attend Mary Jane Watson's play, but is distracted by criminals who stole a car, and stops them. He's not allowed go into the play by a bouncer and Mary Jane is upset at him for missing it. After his powers go away completely, Peter finally decides to give up being Spider-Man and live a normal life, dumping his costume in the trash.
Without having to worry about being Spider-Man, Peter's grades improve in school, and he attends Mary Jane's play. However, she tells him that she has already been engaged to John Jameson. John is the son of Peter's boss at the Daily Bugle.
After finishing his machine, Otto seeks more tritium to power it. The machine is even larger than before, and more dangerous. He makes a deal with Harry, who says he will give him the tritium he needs as long as he brings Spider-Man to him. Doc Ock confronts Peter, who is known to be Spider-Man's photographer. After refusing him, Otto throws Peter into a wall, and kidnaps Mary Jane. After breaking free, Peter resolves his feelings, and discovers that his powers have returned. He gets his costume back, and becomes Spider-Man again. Spider-Man finds Doc Ock, and a fight soon breaks out.
Spider-Man pulls Doc Ock down from the tower, and the two fight on top of a subway train. After a brutal fight, Doc Ock kills the train conductor and speeds up the train, breaking the controls. He escapes, and Spider-Man discovers that the train is about to run out of track. He manages to stop the train using his webs, slowing it down enough to stop it from falling from the train tracks. Becomes very weak, he is brought onto the train by the grateful passengers, who promise to keep Spider-Man's secret identity a secret. However, Spider-Man is captured by Doc Ock, tied up, and brought to Harry. Otto gets the tritium and leaves, before Harry takes out a knife to kill Spider-Man, but is shocked and stops when he pulls off his mask to reveal that his friend Peter. Peter begs Harry to tell him where Doc Ock is, and after realising he's at the docks, Spider-Man goes to rescue Mary Jane and stop Ock's machine.
Down at the docks, Doc Ock works with his machine, and is shouted at by Mary Jane. Quietly, Spider-Man shows up to rescue her, but is confronted by Ock, angry that Harry didn't kill him. The two battle one last time, and Spider-Man defeats Doc Ock. He reveals his identity to Doc Ock, and Otto regains control over himself, breaking free from the influence of the mechanical arms. Having a change of heart, he uses his arms to destroy the machine and sink it into the river, and sacrifices himself. He drowns in the river as he falls to the bottom with his machine.
Mary Jane sees Peter's face, and finally understands why he could not be with her. She wants to be with him, but Peter once again refuses, declaring that he will always be Spider-Man, and that his life is too dangerous for her.
Later, Leter sits in his apartment and despite making his choice, he is very unhappy. The wedding for Mary Jane is about to take place, but at the last minute, she cancels and runs to Peter's apartment. There, she tells him that she is willing to take the risk of being Spider-Man's girlfriend, and the two kiss. A siren roars in the distance, and MJ tells Peter to "Go get them, tiger". She watches as Spider-Man leaps out the window and swings into the distance.
